TERMS & CONDITIONS – Media Connect advertising & marketing
1. Introduction
Welcome to Media Connect advertising & marketing (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our digital communication, marketing, and
campaign management services, including but not limited to Bulk WhatsApp Messaging, Bulk SMS, RCS Messaging, Social Media Marketing, and Campaign Management (collectively, the “Services”). By accessing or using our Services, you agree to comply with and be bound by these Terms. These Terms constitute a legally binding agreement between you (“Client,” “User,” or “you”) and Media Connect advertising & marketing, a sole proprietorship registered and operating in India. Please read them carefully before using our Services. If you do not agree with these Terms, you must discontinue use of our Services immediately.

2. Definitions
For the purpose of these Terms:
“Media Connect advertising & marketing” refers to the service provider offering advertising, marketing, and bulk messaging solutions. “Client” or “User” means any person, business entity, or organization that uses or subscribes to our Services. “Services” means all digital marketing and communication-related solutions provided by Media Connect advertising & marketing, including WhatsApp Business API integration, RCS business messaging, and social media campaign management. “Meta” refers to Meta Platforms, Inc., the parent company of WhatsApp. “RCS” means Rich Communication Services, operated through telecom carriers and their technology partners.  “Account” means a unique account created by the User to access or use the Services. “Applicable Laws” refers to all laws, rules, and regulations of India, including the Information Technology Act, 2000 and its amendments.

3. Acceptance of Terms
By registering, accessing, or using any of our Services, you:
Acknowledge that you have read, understood, and agree to be bound by these Terms. Represent that you have the legal capacity to enter into this agreement. Consent to comply with all applicable laws, including Indian telecommunication and data protection laws. If you are acting on behalf of an organization, you confirm that you are authorized to accept these Terms on its behalf.

4. Description of Services
Media Connect advertising & marketing provides professional advertising and marketing solutions including, but not limited to:
Bulk WhatsApp Messaging through the official WhatsApp Business API. RCS Messaging services for business-to-customer communication. Social Media Marketing including campaign creation, content design, and analytics. Digital Campaign Management and performance tracking. Our Services enable clients to reach target audiences efficiently, automate customer engagement, and enhance digital presence. We act strictly as a service facilitator using approved channels (WhatsApp, RCS, and others) in compliance with respective platform policies. Media Connect advertising & marketing does not own or operate Meta’s or telecom networks’ messaging infrastructure.

5. Eligibility
To use our Services, you must:
Be at least 18 years of age or older. Possess the legal authority to enter into binding agreements. Use the Services only for lawful business or promotional purposes. Media Connect advertising & marketing reserves the right to refuse service or terminate accounts if eligibility requirements are not met or if a user violates any law or platform policy.

6. Account Registration
To access our Services, you may need to create an account. You agree to: Provide accurate and up-to-date information during registration. Maintain the confidentiality of your account credentials.
Notify Media Connect advertising & marketing immediately of unauthorized account access. Media Connect advertising & marketing will not be liable for any loss or damage arising from unauthorized access due to your failure to maintain account security.

7. User Responsibilities
You agree to use the Services responsibly and in compliance with applicable laws and regulations, including: Not sending unsolicited, spam, or prohibited content.
Ensuring all messages comply with Meta’s WhatsApp Business Policy, RCS Business Messaging Guidelines, and Indian Telecom Regulatory Authority (TRAI) norms. Obtaining prior customer consent before sending marketing messages. Using approved message templates and respecting customer opt-out requests. Media Connect advertising & marketing reserves the right to suspend or terminate Services if any misuse, abuse, or violation of platform policies is detected.

8. Payment & Billing Terms
All pricing, payment schedules, and billing terms will be as per the agreed quotation or service proposal shared with the Client. Payments must be made in Indian Rupees (INR) via approved methods. Services may be billed on a prepaid or subscription basis. All payments are non-refundable unless explicitly stated otherwise. Late payments may result in service suspension or additional charges. Media Connect advertising & marketing reserves the right to revise pricing and service fees with reasonable prior notice.

9. Subscription Renewal & Termination

Subscription-based services renew automatically unless cancelled prior to the renewal date. Either party may terminate the agreement with written notice. Media Connect advertising & marketing may suspend or terminate access for violations of these Terms, non-payment, or misuse of services. Upon termination, all rights to use Media Connect advertising & marketing’s services and
systems will immediately cease.

10. Use of WhatsApp Official API & RCS
Media Connect advertising & marketing provides access to WhatsApp Business API and RCS
Messaging through verified and authorized channels only. Clients must comply with: Meta’s WhatsApp Business Terms of Service WhatsApp Commerce and Business Policy RCS Business Messaging Standards Indian TRAI DLT regulations Unauthorized, misleading, or harmful use of these messaging platforms is strictly prohibited and may lead to permanent account suspension or legal action.

11. Message Delivery & Compliance Policy

While Media Connect advertising & marketing facilitates message transmission, delivery is subject to the performance of third-party providers, including Meta, telecom operators, and
internet connectivity. We do not guarantee 100% delivery of messages due to factors such as: Recipient device status or network conditions Message content violations Third-party platform downtimes All message data processed is handled in compliance with applicable privacy regulations and platform-specific encryption standards.

12. Intellectual Property Rights

All content, technology, software, and materials developed or used by Media Connect advertising & marketing remain the exclusive intellectual property of Media Connect advertising & marketing.
Clients retain ownership of their brand assets, message content, and customer databases but grant Media Connect advertising & marketing a limited license to use them for service execution.
Unauthorized reproduction, reverse engineering, or redistribution of our systems or materials is strictly prohibited.

13. Confidentiality
Both parties agree to maintain the confidentiality of all non-public business, technical, and customer information exchanged during the engagement. Confidential information shall not be disclosed without prior written consent, except as required by law or regulatory authorities.

14. Disclaimer of Warranties
Our Services are provided on an “as-is” and “as-available” basis. Media Connect advertising & marketing disclaims all warranties, express or implied, including: Accuracy or completeness of information Uninterrupted service or message delivery Merchantability or fitness for a particular purpose We do not warrant that the use of our Services will meet all client expectations or that it will
be error-free.

15. Limitation of Liability
To the maximum extent permitted by law, Media Connect advertising & marketing shall not be liable for any indirect, incidental, or consequential damages, including but not limited to: Lost profits or data Service interruptions or platform downtimes Unauthorized access to message content or accounts Our total liability in any case shall not exceed the amount paid by the Client for the Services
in question. 

16. Indemnification
You agree to indemnify and hold Media Connect advertising & marketing, its owner, employees, and agents harmless from any claims, damages, or expenses arising out of: Violation of these Terms
Breach of Meta or RCS platform rules Misuse of Services or unlawful communications Any third-party disputes related to message content or data processing

17. Governing Law
These Terms are governed by and construed in accordance with the laws of India, with exclusive jurisdiction of the courts of Mumbai, Maharashtra. 

18. Changes to Terms
Media Connect advertising & marketing reserves the right to update or modify these Terms at any time. Updated Terms will be posted on our website with the revised “Last Updated” date. Continued use of Services after changes constitutes acceptance of the revised Terms.
